Terms of Service

These Terms of Service ("Terms") govern your use of the website located at nyitsc.com and any technical services, consulting, or support provided by NY Information Technology Services & Consulting Inc. ("NYITSC").

1. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms, all applicable laws, and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site or our services.

2. Scope of Services

NYITSC provides Information Technology consulting, managed services, and technical support. The specific scope of work, project milestones, and deliverables for any engagement will be outlined in a separate Statement of Work (SOW) or Service Level Agreement (SLA).

3. Professional Fees and Payment

• Invoicing:     Clients will be invoiced according to the schedule defined in their      specific SOW.
• Payment      Terms: Unless otherwise agreed in writing, all invoices are due within      30 days of the invoice date.
• Late      Payments: Late payments may be subject to a service charge of 1.5%      per month on any outstanding balance.

4. Client Responsibilities

To provide effective consulting, NYITSC requires:

• Timely      access to necessary hardware, software, and network environments.
• Accurate      information regarding existing IT infrastructure.
• Cooperation      from the client’s internal staff during the project lifecycle.

5. Intellectual Property

Unless otherwise stated in a signed SOW, all software code, configurations, and documentation developed specifically for a client shall become the property of the client upon full payment of all fees. NYITSC retains ownership of its pre-existing proprietary tools, methodologies, and general knowledge.

6. Limitation of Liability

To the maximum extent permitted by law, NY Information Technology Services & Consulting Inc. shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of the use or inability to use our services, even if we have been notified of the possibility of such damages.

7. Confidentiality

Both parties agree to treat all non-public information received from the other party as "Confidential Information" and to use at least a reasonable degree of care to protect it from unauthorized disclosure.

8. Termination

Either party may terminate a service engagement with 30 days' written notice. In the event of termination, the client agrees to pay for all hours worked and expenses incurred up to the effective date of termination.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
